3. KEY LEGAL & OPERATIONAL TALKING POINTS

A. On Quantity Shortages (The 2,000 Bag Gap)

"Under the RMI Procurement Code 2023, we cannot accept bids for 105,000 units. This is a Material Deviation. It creates an unfair price comparison and leaves our plant short of supply. We are legally bound to only award to bidders who met the 107,000 quantity requirement."

B. On Specification Mismatches (Size & Color)

"Holland Commodities quoted a bag that is 8cm too short and has the wrong color (Blue). Admitting this bid would compromise our copra packaging process and our branding. It is technically non-compliant."

C. On Risk Management (Section 153 & Damages)

"We are protected by the Code. Under Section 153, we will not sign the Certificate of Acceptance or release the final 50% payment until Regina inspects the bags in Majuro. Additionally, our contract will include Liquidated Damages of 0.5% per week for any delivery delays."

D. On Suspension and Debarment (§167-171)

"If the winner fails to perform, they risk more than just this contract. They face being Blacklisted (Debarred) from all RMI government business for up to 3 years. This is our ultimate leverage to ensure AGRIX or Adachi delivers exactly what they promised."
